Scope
We work to a written proposal or statement of work for each engagement. These terms apply to every proposal unless it says otherwise.

Fees
As set out in the proposal or, if none, our published fee tariff. We invoice monthly or on milestones. Payment is due within 30 days. Late payment may attract interest under the Late Payment of Commercial Debts (Interest) Act 1998.

Expenses
Travel, accommodation and third-party costs are charged at cost and agreed in advance. MHRA and other regulatory fees are paid by the client.

Your responsibilities
You give us accurate, complete information and timely access to people and documents.

Regulatory decisions
We advise and support. Regulatory, release and licensing decisions remain with the licence holder and the regulator. We cannot guarantee a regulatory outcome.

Confidentiality
Each party keeps the other's confidential information confidential during the engagement and for five years after it ends, or longer for trade secrets.

Intellectual property
Deliverables we create for you become yours on full payment. Our templates, methods and know-how remain ours; you receive a licence to use them for your business.

Data protection
Each party complies with UK GDPR. Where we process personal data for you, a data processing addendum applies.

Liability
Our total liability is capped at the fees paid in the 12 months before the claim. We are not liable for indirect or consequential loss. Nothing limits liability that cannot be limited by law.

Termination
Either party may end an engagement on 30 days' written notice, or immediately for material breach not remedied within 14 days. Work done to the end date is payable.

Non-solicitation
Neither party solicits the other's staff or associates for 12 months after the engagement.

Law
English law; the courts of England and Wales.
