Between GxP Pharma Ltd, registered in England and Wales, company number 16057274 ("GxP Pharma"), and the organisation named at acceptance (together "the Parties"). These are the standard terms we work under while we discuss whether we can help you. They protect both sides equally.
1. Purpose
To discuss and evaluate regulatory, quality, pharmacovigilance and related services ("the Purpose").
2. What is confidential
Any information disclosed for the Purpose, in any form, that is marked confidential or that would reasonably be understood to be confidential.
3. Obligations
Each Party will use the other's confidential information only for the Purpose, protect it with reasonable care, and share it only with employees, associates and advisers who need it and who are bound by equivalent obligations.
4. Exclusions
Information that is already public, already known to the receiving Party, independently developed without use of the disclosure, or lawfully received from a third party.
5. Required disclosure
Disclosure is permitted where required by law or by a regulator, with notice to the other Party where giving that notice is lawful.
6. Return or destruction
On request, each Party returns or destroys the other's confidential information, except copies it must keep for legal or regulatory record-keeping.
7. Term
Five years from the date of acceptance.
8. No licence, no obligation
Nothing here grants either Party rights in the other's information, or obliges either Party to proceed to any engagement.
9. Acceptance
This page is the current text for reference. It is accepted at the point of engagement, not by reading this page. When you accept it we record the name, job title, organisation, email, date and time and the version accepted, and send a copy to both Parties.
10. Governing law
English law. The courts of England and Wales have exclusive jurisdiction.

If you would like this in place before you tell us about your product or your problem, say so in your enquiry and we will send it to you to accept before we go any further. You are welcome to use your own form of agreement instead.
